1. DEXLab Subscription Terms
These Subscription Terms ("Terms") govern the purchase, subscription, access to, and use of the DEXLab platform and related services ("DEXLab") provided by Link Technology Group, Inc. ("Company").
By beginning a free trial, purchasing a subscription, creating an account, or otherwise accessing DEXLab, Customer agrees to these Terms.
1.1. Introduction
DEXLab is a software platform within the MakeItDEX ecosystem that assists customers in testing, validating, decoding, analyzing, and troubleshooting DEX-related communications, vending systems, DSD integrations, and related technologies.
These Terms govern the commercial relationship between Company and the organization purchasing or subscribing to DEXLab ("Customer"). Individual users are also subject to the End-User Software Terms.
1.2. Eligibility
Customer represents and warrants that it is legally capable of entering into these Terms, that the accepting individual has authority to bind Customer, that Customer will ensure Authorized Users comply with these Terms, and that account information provided is accurate.
1.3. Free Trial Program
Company may offer DEXLab under a free trial program. Trial offerings may have reduced functionality, include pre-release capabilities, contain usage limitations, and expire automatically. Unless cancelled before expiration, a trial may automatically convert into a paid subscription as described during checkout.
1.4. Subscription Plans
DEXLab is offered under subscription plans selected during purchase, including monthly, annual, enterprise, early adopter, or promotional offerings. Features and support may vary by plan.
1.5. Billing & Payment
Subscription fees are payable in advance through Company or its designated payment processor. Customer authorizes recurring billing consistent with the selected subscription. Taxes are additional unless exempt. Except where required by law, fees are non-refundable.
1.6. Automatic Renewal
Subscriptions automatically renew unless cancelled before the applicable renewal date. Renewal pricing and notice periods will be described during purchase.
1.7. License Grant
Subject to compliance with these Terms and payment of applicable fees, Company grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use DEXLab solely for Customer's internal business purposes during the subscription term. No ownership interest is transferred.
1.8. Authorized Users
Subscriptions are provided on a named-user basis unless otherwise specified. Each Authorized User must maintain unique credentials, may not share accounts, and must comply with the End-User Software Terms. Customer remains responsible for activity occurring under its accounts.
1.9. Customer Responsibilities
Customer agrees to maintain accurate account information, protect credentials, promptly notify Company of unauthorized access, ensure Authorized User compliance, and use DEXLab lawfully.
1.10. Permitted and Prohibited Use
Customer shall not reverse engineer the platform, circumvent licensing, disable security features, attempt unauthorized access, interfere with service availability, redistribute Company software, or use DEXLab for unlawful purposes.
1.11. Platform Changes
DEXLab is a continuously evolving SaaS platform. Company may introduce new functionality, improve features, retire obsolete functionality, modify interfaces, enhance performance, and address security issues, while using commercially reasonable efforts not to materially reduce core subscription functionality during the active subscription term.
1.12. Support Services
Standard support includes issue reporting, ticket tracking, software updates, and general product guidance. Published response targets are operational goals rather than guaranteed service levels unless expressly agreed otherwise.
1.13. Customer Data
Customer retains ownership of Customer Data. Company processes Customer Data to provide the subscribed services. Customer remains responsible for maintaining backups. Following termination, Company may delete Customer Data according to its retention practices.
1.14. Confidential Information
Each party agrees to protect the other's Confidential Information. Where a separately executed Mutual Confidentiality Agreement exists, that agreement governs confidentiality matters.
1.15. Intellectual Property
DEXLab, MakeItDEX, related software, documentation, APIs, libraries, source code, object code, trademarks, logos, and associated intellectual property remain the exclusive property of Company and its licensors. Customer acquires no ownership interest beyond the limited subscription rights granted herein.
1.16. Product Enhancements
Unless otherwise agreed in writing, customer-requested features, enhancements, modifications, improvements, bug fixes, and new functionality developed by Company become part of DEXLab and remain Company's exclusive property. Nothing creates a work-for-hire relationship.
1.17. Warranty Disclaimer
Except as expressly stated, DEXLab is provided "AS IS" and "AS AVAILABLE." Company disclaims implied warranties to the maximum extent permitted by law.
1.18. Limitation of Liability
To the maximum extent permitted by law, Company shall not be liable for indirect, incidental, consequential, exemplary, or punitive damages. Company's aggregate liability shall not exceed subscription fees paid during the twelve months preceding the claim.
1.19. Suspension and Termination
Company may suspend or terminate access for material breach, unlawful activity, non-payment, abuse of the service, or security concerns. Customer may terminate according to applicable cancellation procedures.
1.20. Governing Law
These Terms shall be governed by the laws specified during purchase or, if none are specified, the laws of the State of New York.
1.21. Changes to these Terms
Company may periodically revise these Terms. Material changes may require affirmative re-acceptance before continued access is permitted.
